The Opportunity

We’re seeking a Commercial Counsel (or Senior-level contract manager) to embed with a mission-driven public health organization undergoing a transformative phase in its legal operations. This remote secondment is a full-time role (with flexibility for 20–30 hours/week if needed) lasting 8-12 months or longer , and offers a rare opportunity to build and lead the legal backbone of a growing government grant contracting function from the ground up.

As the organization scales its work across grant management, behavioral health, real estate development, and opioid settlement disbursement, you’ll serve as a strategic partner to the General Counsel , building core contracting infrastructure (playbooks, templates, workflows) while supporting compliance across federal and state-funded initiatives.

About the Client

Our client is a public sector services firm supporting behavioral health, public health, housing, and human services programs nationwide. With over 350 consultants and major projects in infrastructure and grant implementation, the organization serves as a third-party administrator to state and federal agencies, helping distribute and oversee critical funds—especially in response to the opioid crisis.

The current legal function is in its early stages of development under a new General Counsel. You’ll work directly with her to architect the next phase of growth, both legally and operationally.

Responsibilities

  • Lead legal contracting operations across government-funded grant programs—from federal prime contracts to downstream subawards and vendor agreements
  • Build and maintain templates, playbooks, and risk tolerance frameworks for both government and subcontracting workflows
  • Evaluate government contracts (typically on government paper) and identify risks, aligning reviews to internal business goals and compliance standards
  • Draft and maintain subrecipient agreements, vendor subcontracts, and grant subawards
  • Collaborate closely with the General Counsel on key legal strategy decisions; serve as her right hand in building structure from scratch
  • Support licensing, publishing, employment, and training agreements (secondary to the grants focus)
  • Advise on FAR, DFAR, and flow-down clauses , including which terms should or shouldn’t flow through to subcontracts
  • Liaise with business and operations leaders and advise on insurance clauses, industry standards, and federal travel guidelines when necessary
  • Partner with team members responsible for Ironclad to help establish a robust CLM environment and documentation framework

Qualifications

  • 7+ years of legal experience , with deep familiarity in government or grant contracting , particularly in public health, infrastructure, or federal/state-funded programs
  • Demonstrated ability to create and implement legal templates, playbooks, and process frameworks
  • Strong knowledge of FAR, DFAR, subawards, and federal flow-down requirements
  • Experience counseling on risk, compliance, and business strategy in a fast-moving, resource-constrained environment
  • Familiarity with Ironclad or other contract lifecycle management tools
  • Collaborative, pragmatic, and capable of working directly with executives in a “build-mode” legal department
  • Licensed to practice law in at least one U.S. jurisdiction (unless working in a senior-level contract management capacity)
