Job Description
The Corporate Paralegal will support attorneys across a variety of corporate, finance, and transactional matters. This role requires strong attention to detail, excellent communication skills, and the ability to manage multiple complex assignments simultaneously. The ideal candidate will bring a proactive approach and a commitment to delivering exceptional service.
Key Responsibilities, including but not limited to:
Draft, revise, and maintain corporate governance documents including bylaws, resolutions, operating agreements, and meeting minutes.
Prepare and file entity formations, amendments, mergers, conversions, dissolutions, and withdrawals in various states.
Assist with closings for mergers, acquisitions, and financings, including preparing closing checklists, coordinating signature packets, and assembling final closing binders.
Maintain and update firm templates including due diligence request lists and diligence call agendas.
Coordinate and summarize UCC, tax lien, judgment, litigation, and bankruptcy searches; prepare clear summaries of search results.
Conduct legal and corporate due diligence including entity background checks and compliance verification.
Prepare SEC and regulatory filings, and manage ongoing reporting obligations.
Organize and manage corporate records both electronically and in hard copy.
Work closely with attorneys, clients, and external parties to ensure smooth execution of legal processes.
Calendar key filing deadlines and manage entity compliance timelines across jurisdictions.
Support legal teams with legal research and document review tasks as needed.
Qualifications:
Minimum of 5 years’ experience as a corporate paralegal in a law firm or in-house legal department; large law firm experience highly preferred.
Strong understanding of corporate governance, regulatory filings, and transactional legal support.
Proficient in legal and document management systems such as iManage, Workshare Compare, and Adobe Acrobat Pro.
Highly organized with the ability to manage multiple priorities and meet strict deadlines.
Effective communicator and collaborator; capable of working independently with minimal supervision.
Bachelor’s degree and paralegal certificate preferred.
